Terms of Service

Effective July 6, 2026

These Customer Terms of Service govern your use of the Grapevine service. Octet Inc. (d/b/a Grapevine), a Delaware corporation (“Grapevine,” “we,” “us,” “our”).

Please read Section 14 ("Disputes & Arbitration") carefully. It requires you and Grapevine to resolve most disputes through binding individual arbitration and waives your right to a jury trial and to participate in a class action, unless you opt out as described in that section.

1. Acceptance of these Terms

These Customer Terms of Service (the "Terms") govern your access to and use of the Grapevine service — our website, mobile experiences, wine reservation pages (such as /r/[restaurant]), and related services (collectively, the "Services"). By using the Services, placing a wine order, or checking the box indicating that you agree, you accept these Terms and our Privacy Policy. If you do not agree, do not use the Services.

You must be at least 21 years old to use the Services. See Section 3.

2. What Grapevine is — and what it is not

Grapevine is a technology marketplace that lets you discover and reserve wine for a restaurant reservation. Three roles matter:

  • A licensed seller — not Grapevine — sells you the wine. For most bottles, the seller is a licensed wine or liquor store (the "Store"). For certain featured wines, the seller is instead the restaurant, which sources the bottle directly from a licensed importer or distributor for your reservation (see below and Sections 4–7). Whoever sells you a given bottle is its seller of record and holds the license that authorizes that sale.
  • Grapevine is the marketplace, your payment facilitator, and the contracted deliverer. We operate the platform, collect payment from you on the seller of record's behalf as its limited payment collection agent, and arrange delivery of the wine to your restaurant for your reservation. Grapevine does not sell the wine, does not hold a retail liquor license for these sales, and never takes title to the wine.
  • The restaurant is the venue — and sometimes the seller. The restaurant where you have your reservation provides the table and pours/serves the wine. For most wine the restaurant is not the seller. But for featured wines it sources for you, and for wine from its own cellar, the restaurant is the seller of record.

Title. Title to and ownership of each bottle passes directly from the seller of record (the Store, or for featured wines the restaurant) to you at the moment your purchase is finalized (see Section 4). The wine is your property from that moment; Grapevine merely transports it to your reservation as your and the seller's contracted logistics provider.

Because a licensed seller — not Grapevine — sells the wine, your purchase creates a contract between you and the seller of record. Grapevine facilitates that contract but is not a party to the sale of the wine itself.

3. Eligibility and age verification (21+)

Alcohol may only be sold to and received by adults of legal drinking age.

  • At checkout, you must confirm that you are 21 years of age or older. Providing a false age affirmation is a breach of these Terms and may be unlawful.
  • At the restaurant (or on delivery), you (or the adult receiving the wine) may be required to present a valid, government-issued photo ID showing you are 21 or older. The restaurant or the delivering party may refuse to release the wine to anyone who cannot verify their age, who appears intoxicated, or whom they are otherwise prohibited by law from serving.
  • If wine cannot be released because age cannot be verified, the order may be treated as cancelled and refunds are handled under Section 7. We do not refund for an order you are legally barred from receiving where you misrepresented your age.

You are responsible for ensuring that the person who receives the wine meets these requirements.

4. How wine reservations work

  1. Browse and build a cart. You select wines from a restaurant's wine reservation page. Anyone with the reservation link may add to the shared cart.
  2. Submit your order. When you submit, your card is not charged. We securely save your payment method and create a pending order for each Store whose wine is in your cart.
  3. The Store reviews. Each Store reviews your requested bottles and either accepts or declines each one based on availability. You are only ever charged for bottles a Store accepts. Declined bottles are never charged.
  4. Charge on acceptance. When a Store finalizes its acceptance, your saved card is charged for the accepted bottles for that Store. If your cart contains wine from more than one Store, you may see more than one charge — one per Store — each finalized when that Store accepts.
  5. Statement descriptor. Charges appear on your card statement as "GRAPEVINE," regardless of how many Stores are involved.
  6. Confirmation. You receive email confirmation as each Store finalizes, with a receipt link and the status of each bottle.

We will tell you at checkout when an order may produce multiple charges.

Featured wines (sourced by the restaurant). Some featured wines are sold to you by the restaurant, which sources the bottle directly from a licensed importer or distributor for your reservation. For these wines the restaurant places its wholesale order once your order is confirmed, so — unlike the Store flow above — you pay when you place your order (typically days before your reservation) rather than on a later acceptance step. Grapevine collects that payment as the restaurant's agent (Section 6), and the cancellation terms in Section 7 apply once the restaurant has sourced the bottle.

5. Prices, fees, and taxes

  • Wine price. The price shown for each wine on the Services is the price you pay for that bottle. It is set by Grapevine and is the only wine price you will see.
  • Tax. Applicable sales and alcohol taxes are calculated and added at checkout. Tax is collected on the seller's behalf and remitted to the seller of record (the Store, or for featured wines the restaurant).
  • Delivery. Delivery of the wine to your restaurant may be included, shown as a separate line item, or absorbed by Grapevine — this is disclosed at checkout when a charge applies.
  • Tips/gratuity. Any gratuity for restaurant service is handled at the restaurant, on your restaurant bill — not through Grapevine.
  • Promotional codes. If you apply a valid promo code, the discount is shown at checkout. Promo codes are funded by Grapevine, have no cash value, may be limited or withdrawn, and may be restricted to particular restaurants or minimum order sizes.

6. Payment authorization

By submitting an order you authorize Grapevine, acting as the limited payment collection agent of the seller of record (the Store, or for featured wines the restaurant), to:

  • save your payment method for this transaction, and
  • charge that payment method, including on an off-session basis, for the bottles the seller accepts or, for featured wines the restaurant sources for you, at the time you place your order — plus applicable tax and any disclosed delivery charge.

For featured wines, Grapevine collects your payment as the restaurant's funds and, as the restaurant's agent, pays the importer or distributor the restaurant buys the wine from on the restaurant's behalf out of those funds. Grapevine is never the seller of, and never takes title to, that wine.

Payments are processed by Stripe. Grapevine does not store full card numbers; card data is handled by Stripe under its own terms and PCI-DSS standards. You represent that you are authorized to use the payment method you provide.

If an off-session charge is declined after a Store accepts your bottles, we will email you to update your payment method. Unresolved orders may be cancelled.

7. Cancellations, unavailable wine, returns, and refunds

  • Before a Store finalizes: bottles that are still pending have not been charged. If a Store declines a bottle, you are not charged for it, and we may suggest similar alternatives.
  • After a Store finalizes: because the Store has committed to fulfilling your order, finalized bottles are generally non-refundable except as set out below or as required by law.
  • Wine unavailable at your reservation: if a Store cannot provide a bottle you paid for, the Store will provide a replacement bottle of comparable or greater value (up to 120% of the original price) at no extra cost to you, or, if no satisfactory alternative is offered, Grapevine may refund you for that bottle (net of non-recoverable transaction or transport costs).
  • Defective wine: if a bottle is defective in quality (for example, corked), as verified by restaurant management or a qualified third party, the Store will accept its return and you will be refunded or replaced. Differences in personal taste or expectation are not defects.
  • Featured wines (sourced by the restaurant): because the restaurant orders these bottles from its importer or distributor specifically for you, cancellation is governed by the cancellation window and any cancellation fee disclosed to you at checkout. If you cancel before that window closes — that is, before the restaurant has sourced the bottle — you are refunded in full. If you cancel after the wine has been sourced, the restaurant keeps the bottle and your refund is net of the disclosed cancellation fee. These bottles are not returnable to the importer or distributor.
  • If Grapevine or the Store cancels an order for reasons other than your breach (e.g., the reservation is cancelled by the restaurant), you receive a full refund for affected bottles.

Refunds are issued to your original payment method. Refunds may exclude transaction, transport, or other logistics costs reasonably incurred, except where the law requires otherwise.

8. Delivery and service

Wine you reserve is delivered to the restaurant for your reservation and served to you there; it is not delivered to your home. Grapevine arranges this delivery as the contracted logistics provider. Releasing and serving the wine at the table is subject to the age and service rules in Section 3. Home or to-go delivery, if ever offered, is a separate service governed by separate terms and licensing.

9. Your responsibilities

You agree not to: use the Services if you are under 21; provide false information (including a false age affirmation); resell wine bought through the Services; use the Services for any unlawful purpose; or interfere with, scrape, reverse engineer, or attempt to gain unauthorized access to the Services. You are responsible for activity that occurs through your access to a reservation link you control.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, GRAPEVINE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. The wine is sold by the Store, not by Grapevine. Grapevine does not warrant the quality, provenance, condition, vintage, or fitness of any wine; those are the responsibility of the Store as seller. Grapevine does not warrant that the Services will be uninterrupted or error-free.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, GRAPEVINE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR DATA, ARISING FROM OR RELATING TO YOUR USE OF THE SERVICES. GRAPEVINE'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID THROUGH THE SERVICES IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless Grapevine and its affiliates from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your breach of these Terms, your misuse of the Services, or your violation of any law (including providing alcohol to a person under 21).

13. Privacy

Your use of the Services is subject to our Privacy Policy, which explains what we collect and how we use it — including sharing your reservation details with the restaurant to coordinate service and with the Store to fulfill your order, and using Stripe to process payment.

14. Disputes & arbitration

Please read this section carefully — it affects your legal rights.

  • Informal resolution first. Before filing a claim, you agree to try to resolve the dispute informally by contacting us (Section 17). The parties will negotiate in good faith for at least 45 days.
  • Binding arbitration. Except as noted below, any dispute arising out of or relating to these Terms or the Services will be resolved by final and binding arbitration administered by JAMS in the State of New York under its applicable rules, before one arbitrator. The Federal Arbitration Act governs the interpretation and enforcement of this section.
  • Class-action waiver. All disputes will be resolved on an individual basis. You and Grapevine each waive the right to bring or participate in a class, collective, or representative action, and waive the right to a jury trial.
  • Exceptions. Either party may bring an individual claim in small-claims court, and either party may seek injunctive relief in court for intellectual-property or unauthorized-access matters.
  • Opt-out. You may opt out of this arbitration agreement by emailing us at the address in Section 17 within 30 days of first accepting these Terms, stating your name and intent to opt out. Opting out does not affect the other provisions of these Terms.

15. Changes to these Terms

We may update these Terms from time to time. The effective date above will change, and material changes will be posted through the Services. Your continued use after an update means you accept the revised Terms.

16. Governing law

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules, except that the arbitration provision is governed by the Federal Arbitration Act. Disputes not subject to arbitration will be heard in the state or federal courts located in New York. The Services are offered only in the United States.
